International Subsidiary Governance and Compliance Senior Staff

Description:The International Subsidiary Governance and Compliance Professional will be responsible for Lockheed Martin’s international subsidiary governance and compliance within the Corporate Secretary’s Office (CSO) to ensure that Lockheed Martin’s international subsidiaries remain compliant with applicable laws and regulations and support business pursuits.
Responsibilities include but not limited to:

Ensure Legal & Regulatory Compliance
- Perform entity lifecycle management as a strategic function, ensuring that each Lockheed Martin international subsidiary is compliant with local laws and regulations and manage governance framework for Lockheed Martin international subsidiaries; and implement team strategy for compliance.
- Manage entity formation, dissolution, registration, and director and officer changes in a timely, efficient, and compliant manner
- Utilize third party vendors in a cost-effective and efficient manner to support compliance objectives
- Research and interpret, with appropriate legal support, non-U.S. laws and regulations related to entity governance and management
- Draft, review, and manage the execution of resolutions, certificates, correspondence, statutory reports, secretary’s certificates, and other corporate documents under attorney supervision
- Collaborate and share information effectively with internal partners and stakeholders
- Develop and present information relating to international subsidiary governance to internal departments and senior management
- Oversee and ensure the preparation of information relating to international subsidiaries for incorporation into parent company filings, including financial information and audit responses
- Support bid and proposal efforts related to international jurisdictions to include bidder/supplier registrations, import/export registrations and certain pre-qualification certifications
- Ensure successful functioning of foreign branches to include support for local lease issues, bank accounts, branch manager changes and other ongoing compliance obligations
- Support accounting, tax and treasury activities in international jurisdictions
- Conduct regular entity reviews for compliance and conformance
- Conduct stakeholder compliance surveys
- Prepare executive level reports, briefings, and visualizations of compliance metrics


Manage Workload and Improve Process Efficiency
- Independently manage workload and prioritize tasks, through support from team members and vendors, ensuring consistent operational efficiency
- Leverage vendors to ensure maximum efficiency in workflow and effective use of vendor fees
- Perform business process management and monitor systems, refine and develop workflow processes and procedures, and document retention policies to ensure entity compliance (to include docketing / calendaring of compliance requirements and tools to enable real-time understanding of entity compliance postures, electronic recordkeeping where permitted by law/regulation, etc.)
- Suggest improvements to processes and procedures to facilitate efficient delivery of compliance and business support services
- Apply legal records management best practices


Customer Service Orientation
- Respond timely to internal customer requests for business support, including provision of official documents, special delegations of authority/powers of attorney, entity information sheets, etc.
- Track and incorporate productivity and performance metrics; and report progress to management regularly
- Provide and update training and onboarding procedures for entity directors, officers, branch managers, and other internal stakeholders
- Cultivate strong working relationships with corporate functional and business area teams that impact subsidiary governance

While this position is greater than 50% remote, it will require periodic travel to the Bethesda facility, that may not be reimbursable.
Preferred candidate will live within reasonable driving distance to Bethesda, MD.
Basic Qualifications:
- Minimum of 10 years of related experience, preferably with subsidiary management, regulatory compliance, or contracts/subcontracts experience
- Strong interpersonal skills with a client service orientation and ability to collaborate cross-functionally and with business area / functional customers
- Ability to apply creative approaches to problem-solving
- Ability to handle competing priorities in a fast-paced environment with a high volume of work
- Excellent written / verbal communications and organizational / planning skills
-Demonstrated ability to drive process improvement, including evaluating and continually improving processes and automated workflows
- Project management experience with ability to develop and implement master plans and schedules
Desired Skills:
- Experience in a law firm or corporate legal department with an emphasis on maintaining corporate records for subsidiaries, including managing corporate subsidiary or matter management databases
- Relevant experience in entity governance, U.S., or international compliance
- Vendor management and smart, efficient use of vendors
- Risk management experience with processes and controls
- Change management experience

Ability to Work Remotely: Part-time Remote Telework: The employee selected for this position will work part of their work schedule remotely and part of their work schedule at a designated Lockheed Martin facility. The specific weekly schedule will be discussed during the hiring process.
Work Schedules: Lockheed Martin supports a variety of alternate work schedules that provide additional flexibility to our employees. Schedules range from standard 40 hours over a five day work week while others may be condensed. These condensed schedules provide employees with additional time away from the office and are in addition to our Paid Time off benefits.
Schedule for this Position: 4x10 hour day, 3 days off per week
